RECRUITMENT TERMS

OVERVIEW/RECRUITMENT SEARCH DESCRIPTION.

FaZe Clan Inc. (“Sponsor” or “Organizer”) wishes to recruit a new member through this Moon Pay x FAZE1 Recruitment Search (“Recruitment Search”). The Recruitment Search will consist of three (3) stages (each, a “Stage”). As part of the Recruitment Search, eligible individuals who wish to compete for the opportunity to join FaZe Clan will be required to submit one or more pieces of video content in accordance with instructions posted herein and on the Recruitment Search Website (“Recruitment Search Content”). The topic(s) of the Recruitment Search Content will be announced at the beginning of each Stage (“Topic”). Sponsor will judge the Recruitment Search Content following the close of each Stage in accordance with the criteria set forth below in order to determine the top participating eligible individuals for that Stage. The top 100 Participants (as defined below) will advance to Stage 2. The top 20 Participants will advance to Stage 3, which will require such Participants moving to and living in a house in Los Angeles, CA (or other location to be announced by Sponsor or as appropriate) where they will be livestreaming 24/7 on Twitch for fifteen (15) days. From these top 20 Participants, Sponsor will select the Participant to whom it will offer the opportunity to join FaZe Clan (“FaZe1 Recruit”). Participants must follow all instructions and guidelines posted on the Recruitment Search Website with respect to the Recruitment Search Content (incorporated herein by reference) as well as the “Recruitment Search Content Requirements” set forth below.

AGREEMENT TO RECRUITMENT TERMS.

By participating in the Recruitment Search, Participant acknowledges and agrees that Participant has read, understands, and accepts these Recruitment Terms and Sponsor's Privacy Policy at https://fazeclan.com/privacypolicy , and to be contacted by telephone and/or email in matters relating to the Recruitment Search. Participant may also be required to submit Participant's express acknowledgement to these Recruitment Terms. If Participant is an eligible minor, then Participant is further required to expressly agree to these Recruitment Terms, and Participant's parent or legal guardian (or both parents to the extent required under applicable law) must read, understand, and consent to these Recruitment Terms, and complete and submit a Parent/Guardian Consent Form (the “Consent Form”).

Note: All dates in these Recruitment Terms are subject to change only subject to compelling reasons by Sponsor such as force majeure. If any or all dates are changed, Sponsor will use best efforts to post notice on the Recruitment Search Website (as defined below).

ELIGIBILITY.

The Recruitment Search is only open to individuals who are at least 13 years old to participate or other minimum age set forth herein (with parental consent if the entrant is under the age of majority in the entrant's local jurisdiction) at the time of entry, who reside in the following jurisdictions: Algeria, Argentina, Australia (must be 14), Austria, Bahrain, Belgium, Brazil, Bulgaria, Canada (must be over 14), Chile (must be15), Colombia (must be over 14), Costa Rica (must be over 15), Croatia, Cyprus (must be over 14), Czech Republic (must be15), Denmark, Dominica, Estonia, Finland, France, Germany, Great Britain (England, Scotland, and Wales only, and must be over 15), Greece, Greece, Guatemala, Honduras (must be over 15), Hong Kong, Hungary (must be over 14), India, Indonesia, Ireland, Israel, Italy, Jordan, Kenya, Kuwait, Latvia, Lebanon, Lithuania, Luxembourg, Malaysia (must be over 18), Mexico, Nepal, Netherlands, New Zealand, Niger, Norway (must be over 15), Oman, Peru, Poland, Portugal, Qatar, Romania (must be over 15), Saudi Arabia, Serbia (must be over 15), Singapore, Slovakia, Slovenia (must be over 15), South Africa, Spain (must be over 16), Sweden, Switzerland (must be over 14), Thailand, Turkey (must be over 14), United Arab Emirates, and United States. Void outside the jurisdictions listed and where prohibited or restricted by law, rule or regulation. Employees of Sponsor, Moon Pay PTE Limited (“MoonPay” or “Crypto Bonus Underwriter”), any company or compensation providers associated with this Recruitment Search, and each of their respective parent companies, affiliates, subsidiaries, advertising or promotion agencies are not eligible, nor are members of these employees' families (defined as parents, children, siblings, spouse, and life partners) or household members, whether or not related. Proof of residency, age, and verifiable parental consent may be required and failure to provide same may result in disqualification. The Recruitment Search is subject to all applicable federal, provincial, state, and local laws, rules, and regulations.

Participants must be eligible to travel to and work in the United States during the applicable Recruitment Search periods to be eligible for this Recruitment Search. If a Participant is not able to travel to or work in the United States during the applicable Recruitment Search periods, including for reasons of COVID-19 travel restrictions OR IMMIGRATION ISSUES, then Sponsor may disqualify the Participant and may select an alternative Participant.

REGISTRATION PERIOD.

To register to compete in the Recruitment Search, between 12:00 P.M. United States Pacific Time (“PT”) on January 20, 2022, and February 14, 2022 at 11:59 P.M. PT (“Registration Period”), eligible individuals must complete and submit the FaZe1 Registration Form (“Registration”) online at https://fazeclan.com/faze1 (“Recruitment Search Website”), which will require name, location, email, and age and affirmatively accept these Recruitment Terms (and, if applicable, have individual's parent or legal guardian complete and submit the Consent Form) (“Participants”). Limit one (1) Registration per Participant. Multiple Registrations and Registrations generated by script, macro or automated means or which otherwise subvert the registration process will be void. Sponsor reserves the right to disqualify any Participant found to have made more than one (1) Registration to the Recruitment Search, including by using multiple accounts.

STAGE 1 (“Open Recruitment Search”).

The Topic for the Open Recruitment Search Content will be posted in the Recruitment Search Website beginning at or around 12:00 P.M. PT on January 27, 2022 (“Open Recruitment Search Period”), Participants must (i) visit the Recruitment Search Website to learn the Topic of the Recruitment Search Content for the Open Recruitment Search or watch the instructions posted by the Sponsor via its social channels (general or technical instructions will be given when the Recruitment Search is first announced), (ii) create such Recruitment Search Content, (iii) post the completed Recruitment Search Content “publicly” via their account on one or more of the following social platforms: YouTube, Twitter, TikTok, or Instagram (“Social Platforms”) with the required hashtags, and finally (iv) return to the Recruitment Search Website and follow the directions provided to paste a link to their posted Recruitment Search Content. Once a Participant has submitted their Recruitment Search Content, it can't be altered after February 14, 2022.

Participant's Social Platform account must be set to “public.” Social Platform account can be returned to “private” following elimination from the Recruitment Search and/or following FaZe1 Recruit announcement (as applicable). Establishing a Social Platform account is and remains free, and is available to the Participant in accordance with the Social Platforms' terms of use and applicable law. All applicable Social Platform terms, rules, and policies apply. All Social Platform settings are at Participants' own risk.

TOP 100 PARTICIPANT DETERMINATION.

The Top 100 Participants will be announced on the Recruitment Search Website on or about 12:00 P.M. PT on March 3, 2022. Selection of Top 100 Participants will be based on a combination of the following (“Recruitment Search Content Judging Criteria”): (i) number of subscribers to Participant's Social Platforms, (ii) fan engagement with Participant's Recruitment Search Content, which includes the number of: likes, comments, views, retweets, and (iii) Sponsor's judging score of the Recruitment Search Content based equally on (a) quality of the Recruitment Search Content, (b) Presentation of Recruitment Search Content, and (c) Participant's accuracy and thoroughness in addressing the Topic. Sponsor will assign scores based on the Recruitment Search Content Judging Criteria and select the Top 100 Participants based on such scores. In the event of a tie, an additional tie-breaking judge will review the tied Participants using the Recruitment Search Content Judging Criteria to determine who will advance to Stage 2. Sponsor reserves the right to select fewer than 100 Participants if it determines it did not receive a sufficient number of eligible and qualified Open Recruitment Search Content in accordance with these Recruitment Terms. Judging scores will not be revealed. Decisions of the Sponsor are final and binding.

TOP 100 PARTICIPANT NOTIFICATION AND REQUIREMENTS.

The Top 100 Participants will be notified by email.

STAGE 2 (“Top 100 Recruitment Search”).

The Topic for the Top 100 Recruitment Search Content will be posted on the Recruitment Search Website beginning at or around 12:00 P.M. PT on March 3, 2022, and between such time and March 3, 2022 at 11:59 P.M. PT (“Top 100 Recruitment Search Period”), Participants must (i) visit the Recruitment Search Website to learn the Topic of the Recruitment Search Content Recruitment Search the Top 100 Recruitment Search or watch the instructions posted by the Sponsor via its social channels, (ii) create such Recruitment Search Content, (iii) post same completed Recruitment Search Content via their account on one or more of the Social Platforms with the required hashtags, and finally (iv) paste a link to their posted Recruitment Search Content to the Discord channel established by Sponsor for the Recruitment Search. Once a Participant has submitted their Recruitment Search Content it should not be altered.

TOP 20 PARTICIPANT DETERMINATION.

During the Top 100 Recruitment Search Period, due to visa and other potential hurdles, Sponsor reserves the right to begin vetting Participants it deems to be potential Top 20 Participants. If contacted by Sponsor, one or all of the following may be required of such Participants (and, if eligible minors, their parent or legal guardian): (i) sign a Non-Disclosure Agreement, (ii) confirm their agreement to and sign these Recruitment Terms, (iii) review the FaZe Clan Management and Production Agreement and agree (in writing if required by Sponsor) to sign same “as is” if determined to be in the Top 3 (as defined below), (iv) complete a psychological evaluation, and/or (v) submit to a background check of any criminal or civil records of a Participant (and, if an eligible minor, their parent or legal guardian), or request such information from same. Sponsor reserves the right to disqualify Participants based on the results of the psychological evaluation or background check if such check or information reveals a major crime (i.e., felony-level crime) or a crime of moral turpitude or for failure to otherwise comply within the required time period and/or with any requirements imposed by Sponsor. To the extent necessary, and as permitted by applicable laws and regulations, the Participant (and if an eligible minor, their parent or legal guardian) shall authorize such a background check or risk disqualification. No Participant is a Top 20 Participant, regardless of what has been asked of them by Sponsor, until such time as Sponsor notifies them that they are in fact a Top 20 Participant. There is no guarantee that completing all of the steps asked by Sponsor of a Participant will result in the Participant being deemed a Top 20 Participant.

The Top 20 Participants will be announced on the Recruitment Search Website on or about 12:00 P.M. Pacific Time (“PT”) on April 28, 2022. Selection of Top 20 Participants will be based on the Recruitment Search Content Judging Criteria. In the event of a tie, an additional tie-breaking judge will review the tied Participants using the Recruitment Search Content Judging Criteria to determine who will advance to Stage 3. Sponsor reserves the right to select fewer than 20 Participants if it determines it did not receive a sufficient number of eligible and qualified Top 20 Recruitment Search Content. Judging scores will not be revealed. Decisions of the Sponsor are final and binding unless finally ruled otherwise by a court of competent jurisdiction.

TOP 20 PARTICIPANT NOTIFICATION AND REQUIREMENTS.

The Top 20 Participants (and if an eligible minor, their parent or legal guardian) will be notified by email and will be required to provide proof of visa or other travel documents required for travel to Los Angeles, California by Participant (and, if an eligible minor, their parent or legal guardian) within the stated period required by Sponsor. Return of a notification as undeliverable, failure to sign and return or provide all requested documentation within the specified time period, failure of a Participant to respond to the initial notification within the time period stated therein, or noncompliance with these Recruitment Terms by a Participant (or their parent or legal guardian if any eligible minor) may result in disqualification and, at Sponsor's sole discretion, a runner-up may be notified.

Stage 3 (“Content House Experience”).

  • The Top 20 Participants will be invited to move into a house in Los Angeles, CA (or other location designated by Sponsor) for filming of a 24/7 livestream on Twitch for fifteen (15) days (or maximum length as allowed by applicable laws and regulations). Acceptance of such invitation is required to proceed to Stage 3. Separate accommodations will be made for any minor Participant and their parent or legal guardian.

  • The Content House Experience will commence on or about May 9, 2022 and continue through on or about May 26, 2022 (“Content House Experience Period”).

  • During the Content House Experience Period, Participants will be required to create Recruitment Search Content based on Topics provided daily.

  • Sponsor will provide roundtrip coach class air transportation to/from Los Angeles, CA and the international airport nearest Participant's residence. Sponsor will also provide ground transportation between airport and Content House in Los Angeles as well as daily meals during the Content House Experience Period. For Participants under the age of majority in their local jurisdiction, such air and ground transportation will also be provided for one (1) parent or legal guardian of the Participant.

  • Participant (and, if an eligible minor, their parent or legal guardian) agrees to abide by any terms, conditions, and restrictions provided by Sponsor with respect to stay in the Content Houseas set forth in these Recruitment Terms and otherwise communicated to Participant (or their parent or legal guardian if an eligible minor) by Sponsor.

  • Participant (and, if an eligible minor, their parent or legal guardian) agrees to provide proof of vaccination against COVID-19 at least 14 days prior to departure or a negative COVID-19 PCR or antigen test at least 3 days prior to departure, and may be subject to testing or other precautions in accordance with applicable federal, state and local regulations, ordinances and guidelines. Failure to do so may result in forfeiture or disqualification. Participant (and, if an eligible minor, their parent or legal guardian) acknowledges that the recommended safeguards against COVID-19 are constantly changing and that Sponsor reserves the right to revise the requirements set forth herein based on current CDC, World Health and/or state recommendations and/or its own guidelines as it sees fit. In such an event, any change to these requirements will be provided at time of Top 20 notification and Participant (and, if an eligible minor, their parent or legal guardian) agrees to comply with any such revised requirements. Participant (and, if an eligible minor, their parent or legal guardian) fully understands that (a) the novel coronavirus SARS-CoV-2 and any resulting disease (together with any mutation, adaptation or variation thereof, “COVID-19”) is extremely contagious and there is an inherent risk of exposure to COVID-19 in any place where people are or have been present; (b) no precautions, including the protocols that may be implemented from time to time based upon public health and government-sponsored guidelines (collectively, the “Protocols”), can eliminate the risk of exposure to COVID-19; (c) while people of all ages and health conditions have been adversely affected by COVID-19, certain people have been identified by public health authorities as having greater risk based on age and/or underlying medical conditions; and (d) exposure to COVID-19 can result in being subject to quarantine requirements, illness, disability, other short-term and long-term health effects, and/or death, regardless of age or health condition.

  • If a Participant cannot travel to the prescribed location in the United States due to: (a) COVID-19 restrictions, or (b) issues arising from passport, visa, or other immigration reasons, then Sponsor may disqualify the Participant and may select an alternative Participant to advance to Stage 3.

  • Sponsor will not bear any other costs in relation to travel, and Participants (and, if an eligible minor, their parent or legal guardian) are responsible for organizing and paying for COVID-19 testing, quarantines, passports, visas, resolving immigration issues, insurance and any other travel related cost.

  • Sponsor shall have the right, but not the obligation, to and to authorize others to, videotape, audiotape, film, portray, photograph and otherwise record Participant, Participant's likeness, and Participant's voice in connection with the Participant's stay in the Content House and their participation in the Recruitment Search, as often and for such periods of time as it may request. Any such recordings, and all materials Participant may provide as part of Participant's stay at the Content House and participation in the Recruitment Search, all other information Sponsor has received or will receive from other sources about Participant, as well as Participant's appearance and voice in connection with the Recruitment Search and Participant's stay in the Content House, and the results and proceeds of Participant's participation in the Recruitment Search and Participant's stay in the Content House, and any reproductions or recordings of any nature of any of the foregoing, in whole or in part, are collectively referred to herein as the “Content House Material.” The “Content House Material” shall also include, without limitation, any and all material that Participant may provide and/or create (or participate in the creation of) in connection with the Recruitment Search at any time.

  • Content House Materials, which are required for the judging of the Recruitment Search, shall be deemed to be “works made for hire“ (as that term is understood in U.S. copyright law) for Sponsor. Accordingly, all right, title and interest in, to, the Content House Material shall, at all times, be and remain solely and exclusively the property of Sponsor for its exploitation in any and all language(s), manner(s) and/or media whether now known or later developed, as it may deem appropriate throughout the universe and in perpetuity, nothing being owed to the Participant beyond the stay in the Content House, which is considered to be the remuneration for this purpose. If any of the Content House Material is determined not to be a “work-made-for-hire”, Participant (and their parent or legal guardian, if an eligible minor) hereby irrevocably and exclusively assigns to Sponsor, in perpetuity and throughout the universe, all rights in and to the Content House Material, including without limitation, all copyrights and all renewals and extensions thereof. If any such work of authorship cannot be assigned, Participant hereby grants to Sponsor an exclusive, assignable, irrevocable, perpetual, worldwide, sub-licensable (through one or multiple tiers), royalty-free, unlimited license to use, copy, reproduce, distribute, modify, adapt, alter, translate, improve, create derivative works of, practice, publicly perform, publicly display, and digitally perform and display such work in any media now known or later devised. Without limiting the foregoing, Sponsor shall have the unlimited right in its sole discretion to cut, edit, add to, delete from, rearrange and/or otherwise modify any and all of the Content House Material (inclusive of Participant's name, voice, photograph and likeness) at any time or times by any means Sponsor may deem desirable throughout the universe in perpetuity, with no further obligation whatsoever to Participant, except as expressly set forth herein. Except where prohibited by applicable laws and regulations, Participant (and if an eligible minor, their parent or legal guardian) hereby irrevocably waives and agrees not to exercise all “moral rights” or “droit moral” rights and any similar or analogous rights under the applicable laws and regulations of any jurisdiction of the world.

  • Participant (and, if an eligible minor, their parent or legal guardian) is not permitted to accept, directly or indirectly, any money, service, or other valuable consideration, for the inclusion of any matter as part of any Content House Materials.

  • Participant (and, if an eligible minor, their parent or legal guardian) will not utilize performance enhancing drugs or appear visibly intoxicated or under the influence of any legal or illegal substance at any time during the Content House Experience Period (includes digital and physical manifestations), nor will Participant showcase any illegal substance or appear to promote or encourage the possession or use of any such illegal substance.

  • Participant (and, if an eligible minor, their parent or legal guardian) will not aid or allow the consumption of alcohol by persons under the age of 21 at any time during the Content House Experience Period.

  • Participant (and, if an eligible minor, their parent or legal guardian) will not be permitted to have guests in the Content House or on the property, without express permission from the Sponsor.

  • Participant (and, if an eligible minor, their parent or legal guardian) understands that additional rules may be provided during their stay at the Content House and that any violation of the Content House rules is grounds for expulsion from the Content House and the Recruitment Search.

  • Participant (and, if an eligible minor, their parent or legal guardian) understands they are personally responsible for any damage to the Content House caused beyond expected wear and tear.

  • Participant (and, if an eligible minor, their parent or legal guardian) agrees to cooperate and follow all directions of Sponsor and/or Sponsor's representatives and acknowledges and agrees that Sponsor's decisions on all matters shall be final and binding in all respects, including Sponsor's determinations regarding disputes, judgment calls or issues that may arise.

  • Participant (and, if an eligible minor, their parent or legal guardian) will not bring any weapons or other illicit items to the Content House, and will not engage in, any weapons use or any other illegal activities (including, but not limited to, gambling or betting on esports) at the Content House. Participant (and, if an eligible minor, their parent or legal guardian) acknowledges and agrees the Sponsor may conduct a search of their luggage and of any luggage, belongings and/or other items they may bring to the Content House to ensure compliance with the foregoing.

  • Participant (and, if an eligible minor, their parent or legal guardian) consents to treatment in the event of an emergency or other incident in which, in the reasonable judgment of the Sponsor, or other medical personnel, they require medical care or other related services. Participant (and, if an eligible minor, their parent or legal guardian) understands and agrees that any and all medical and/or other services rendered by or at the insistence of Sponsor or any other Released Party, is not an admission of liability to provide or continue to provide any such services and is not a waiver by any right by any Released Party, to the extent permitted by law.

  • Australian Participant (if any advance to Stage 3) consents to the Sponsor exercising all copyright rights subsisting in the Content House Material including, but not limited to, the right to use, deal with, publicly perform, communicate, reproduce, transmit, publish, exhibit, modify or adapt those works (a) without attribution of authorship, (b) bearing Sponsor's name and (c) even if the exercise of such rights constitutes ‘derogatory treatment' under section 195AJ of the Copyright Act 1968 (Cth) which may be prejudicial to those works.

  • Hazardous Activities. In connection with Participants' participation in the Content House Experience, Participant acknowledges and agrees that Participant may choose to voluntarily participate in activities that may be inherently hazardous, and Participant may be exposed to danger and hazards, including but not limited to some of the following: tripping or falling over obstacles, unpredictable currents, lightning, hypothermia, drowning, death, falls, fractures, concussions, dangerous weather, overexertion, overheating, injuries from my lack of fitness or conditioning, equipment failures, or my failure to wear a personal flotation device or use other protective gear, and negligence of others (“Hazardous Activities”). While particular rules, equipment, and personal discipline may reduce the risk, the risk of serious injury still does exist. As a consequence of these risks, Participant may be seriously hurt, disabled or may die from the resulting injuries, and Participant's property may also be damaged. Participant understand the potential injuries involved and choose to voluntarily participate in the Hazardous Activities at my own risk. Participant acknowledges that Participant is not required to participate in any of the Hazardous Activities and that Participant will not be penalized or disqualified if Participant chooses not to participate in the Hazardous Activities. If Participant does participate in Hazardous Activities, Participant assumes and accepts ALL risks, both known and unknown, of injuries and damages associated with Participant's presence, and participation at or near the Hazardous Activities, or other activities not listed above.

SELECTION OF FAZE1 RECRUIT.

FaZe1 Recruit will be selected based on a combination of (i) number of subscribers to Participant's Social Platforms, (ii) “verifiable” fan engagement with Participant's Recruitment Search Content, which includes: likes, comments, views, retweets, (iii) Sponsor's judging score of the Recruitment Search Content based equally on (a) quality of the Recruitment Search Content, (b) Presentation of Recruitment Search Content, (c) Participant's ability to effectively answer the Topic questions, and (iv) personality and ability to subjectively fit in with the current members of FaZe1 Clan (“FaZe1 Recruit Criteria”).

Prior to arrival at the Content House, Top 20 Participants will be randomly divided into two (2) groups of ten.

On Day 1 of the Content House Experience Period, the first group of 10 will compete for immunity from their first elimination in an initial challenge and following the determination of who will receive immunity, they must then complete the main challenge for that day.

On Day 2 of the Content House Experience Period, Sponsor will eliminate five (5) Participants from the first group of 10 using the FaZe1 Recruit Criteria.

On Day 3 of the Content House Experience Period, the second group of 10 will compete for immunity from their first elimination in an initial challenge and following the determination of who will receive immunity, they must then complete the main challenge for that day.

On Day 4, Sponsor will eliminate five (5) Participants from the second group of 10 using the FaZe1 Recruit Criteria, so that only ten (10) of the Top 20 Participants remain.

On Day 5, Day 7, Day 9, Day 11 and Day 13, the remaining Top 20 Participants will compete for immunity from the next day's elimination in an initial challenge and following the determination of who will receive immunity, they must then complete the main challenge for that day.

Sponsor will use the FaZe1 Recruit Criteria to eliminate Participants until only three (3) Participants remain, as follows:

  • Day 6: One (1) Participant will be eliminated, leaving nine (9) Participants remaining;

  • Day 8: One (1) Participant will be eliminated, leaving eight (8) Participants remaining;

  • Day 10: One (1) Participant will be eliminated, leaving seven (7) Participants remaining;

  • Day 12: One (1) Participant will be eliminated, leaving six (6) Participants remaining;

  • Day 14: One (1) Participant will be eliminated, leaving five (5) Participants remaining;

  • Day 15: Two (2) Participants will be eliminated, leaving three (3) Participants remaining

Day 15: The remaining three (3) Participants (“Top 3”) will participate in a Finale show during which the FaZe1 Recruit will be announced, provided each such Participant (and, if an eligible minor, their parent or legal guardian or both parents to the extent required under applicable law) executes the FaZe Clan Management and Production Agreement prior to the Finale Show. Failure to do so will result in disqualification. 

In the event of a tie on any elimination day of the Content House Experience Period, an additional tie-breaking judge will review the tied Participants using the FaZe1 Recruit Criteria to determine the Recruit. Judging scores will not be revealed. Decisions of the Sponsor are final and binding unless finally ruled otherwise by a court of competent jurisdiction.

Following elimination, Participants (and, if eligible minors, their parent or legal guardian) will be sent home.

The elimination procedure described above may be modified as Sponsor deems necessary to accommodate production, COVID-19, or other issues or concerns that may arise. Participants (and, if eligible minors, their parents or legal guardians) will be informed of any such changes by Sponsor; however, Participants (and if minors, their parents or legal guardians) understand they have no say in any such changes made by Sponsor.

FAZE1 RECRUIT COMPENSATION.

FaZe1 Recruit will be eligible for the following bonuses, subject to compliance with all requirements of these Recruitment Terms:

  1. One Million Dollars ($1,000,000) worth of USD Coins (“USDC”), a cryptocurrency, made available through MoonPay OR, at MoonPay's election, One Million Dollars worth of Bitcoin, Ethereum or another cryptocurrency supported by MoonPay to be chosen at MoonPay's sole discretion (the “Crypto Bonus”). Each  USDC is valued at $1.00 USD, and is redeemable on a 1:1 basis for US dollars. In the event that MoonPay selects any other cryptocurrency in which to pay the Crypto Bonus, the amount of such cryptocurrency to be provided will be determined based on the US dollar price of such cryptocurrency as made commercially available by MoonPay at the time the Crypto Bonus is transferred to the Faze1 Recruit.

  2. One (1) 2021 Nissan GT-R vehicle, valued at $113,540 USD; and

  3. Opportunity, but not the obligation, to enter into a GFUEL endorsement contract for 24 months, valued at $250,000 USD.

To claim and receive the Crypto Bonus, the FaZe1 Recruit must first establish a MoonPay service account and link it to an eligible wallet (an “Eligible Wallet,” as described further below) hosted by MoonPay (if available) or a third-party financial institution (the “Hosted Wallet Provider”) acceptable to MoonPay. The FaZe1 Recruit must also execute any liability release that Sponsor or Crypto Bonus Underwriter may reasonably require as a condition of awarding the Crypto Bonus. To establish a MoonPay service account, the FaZe1 Recruit must comply with all age, residency and other requirements of the MoonPay Terms of Use applicable in their home jurisdiction (see https://www.moonpay.com/legal/terms_of_use), provide all information requested by MoonPay (including without limitation name, address, date of birth, taxpayer identification number and government issued ID) for purposes of identity verification and the detection and prevention of money laundering, terrorism financing, fraud, and other illicit activity, and satisfy, at MoonPay's sole discretion, all related compliance requirements (collectively with MoonPay's Terms of Use, the “MoonPay Account Requirements).” For a further description of MoonPay's identity verification, anti-money laundering and related compliance policies and procedures, see https://www.moonpay.com/legal/aml_kyc_policy. To link a MoonPay service account to an Eligible Wallet, the FaZe1 Recruit must also satisfy all terms and conditions and applicable compliance requirements of the Hosted Wallet Provider, including without limitation, any age-related limitations and requirements relating to identity verification and detection and prevention of money laundering, terrorism financing, fraud, and other illicit activity (“Hosted Wallet Provider Requirements”). The FaZe1 Recruit also must not be resident in any jurisdiction subject to U.S. sanctions or otherwise subject to any sanctions regime (including without limitation sanctions programs administered by the U.S. Department of Treasury's Office of Foreign Assets Control (“OFAC”)).

An Eligible Wallet is a hosted wallet (i) capable of receiving and custodying the Crypto Bonus from the sending financial institution; and (ii) that is operated by MoonPay or a third-party wallet provider approved by MoonPay that complies with all applicable laws and is not subject to or in a country subject to any OFAC or other sanctions regime.

If, at the time of selection, the age of the FaZe1 Recruit satisfies the minimum age requirements for creating a MoonPay service account and the FaZe1 Recruit resides in a jurisdiction in which MoonPay offers its service accounts (see list of MoonPay supported jurisdictions at https://support.moonpay.com/hc/en-gb/articles/360009279877-What-are-your-supported-countries-states-and-territories-), the FaZe1 Recruit will be entitled to the Crypto Bonus ONLY if they satisfy all MoonPay Account Requirements and Hosted Wallet Provider Requirements and receive the Crypto Bonus through their MoonPay service account and linked Eligible Wallet. If the FaZe1 Recruit fails to or is otherwise unable to create a MoonPay service account and linked Eligible Wallet and satisfy all related MoonPay Account Requirements and Hosted Wallet Provider Requirements within a reasonable time of being notified of their selection by Sponsor (not to exceed thirty (30) days), the FaZe1 Recruit will be disqualified from eligibility for the Crypto Bonus and forfeit all rights to and interests in the Crypto Bonus, and the Crypto Bonus will not be awarded. No Alternative Bonus (as defined below) or other substitute compensation of any kind will be awarded in these circumstances.

The value of the Crypto Bonus is taxable as income to the FaZe1 Recruit and a portion of the Crypto Bonus may be withheld to satisfy tax withholding requirements. As a condition of receiving the Crypto Bonus, the FaZe1 Recruit may be required to timely complete and return to Sponsor or MoonPay an IRS Form W-9, IRS Form W-8BEN or other documents for tax reporting purposes.

In the event that the FaZe1 Recruit is not old enough at the time of selection to satisfy the minimum age requirements for creating a MoonPay service account and/or resides in a jurisdiction in which MoonPay does not offer MoonPay service accounts for both buy and sell services, the FaZe1 Recruit will not be eligible to receive the Crypto Bonus offered through MoonPay but will be eligible to receive an alternative award of compensation from Sponsor payable at Sponsor's election, and subject to any applicable tax withholding requirements, as either One Million Dollars ($1,000,000) worth of USD Coins or One Million Dollars ($1,000,000) worth of other cryptocurrency selected by Sponsor in its sole discretion (the “Alternative Bonus”). To be eligible to receive the Alternative Bonus, the FaZe1 Recruit must establish an Eligible Wallet with a Hosted Wallet Provider satisfactory to Sponsor that is capable of receiving and custodying the Alternative Bonus from the sending financial institution and satisfy all related Hosted Wallet Provider Requirements. The FaZe1 Recruit (and their parent or legal guardian, if the FaZe1 Recruit is an eligible minor) must also timely complete, execute and return any release that Sponsor may require and any documents Sponsor may request for tax reporting purposes. Additionally, if the FaZe1 Recruit is under the age of 18 (or the age of majority in their jurisdiction of residence, if higher than 18) at the time of their selection, Sponsor reserves the right at its discretion: (1) to defer the award of the Alternative Bonus until the FaZe1 Recruit reaches the age 18 (or the age of majority in their jurisdiction of residence if higher than 18); (2) require the FaZe1 Recruit's parent or legal guardian to establish a trust account to receive the deposit of the Alternative Bonus for the benefit of the FaZe1 Recruit on terms satisfactory to Sponsor; or (3) award the Alternative Bonus to the FaZe1 Recruit's parent or legal guardian for the benefit of the FaZe1 Recruit subject to the parent's or legal guardian's agreement (on terms satisfactory to Sponsor) to manage the proceeds of the Alternative Bonus for the benefit of the FaZe1 Recruit. The failure or inability of the FaZe1 Recruit (or of their parent or legal guardian, if the FaZe1 Recruit is an eligible minor) to timely complete, execute and return any release, tax reporting form, further agreement or other document reasonably requested by Sponsor to effectuate the award of the Alternative Bonus will result in the FaZe1 Recruit's disqualification from eligibility to receive any Alternative Bonus and the forfeiture of all rights and interests in such a bonus.

DISCLOSURES:

Cryptocurrencies, including USDC, are not legal tender, are not backed by the United States government, and value balances are not subject to Federal Deposit Insurance Corporation or Securities Investor Protection Corporation protections. The value of cryptocurrency may be derived from the continued willingness of market participants to exchange fiat currency for cryptocurrency, which may result in the potential for permanent and total loss of value of a particular cryptocurrency should the market for that cryptocurrency disappear. As a result, the volatility and unpredictability of the price of cryptocurrency relative to fiat currency may result in significant loss over a short period of time. Additionally, other market developments, or legislative and regulatory changes or actions at the State, Federal, or international level may adversely affect the use, transfer, exchange, and value of cryptocurrency. Please also note that transactions involving cryptocurrency may be subject to costs and fees (including “gas” fees). Any such fees are the sole responsibility of the FaZe1 Recruit and the amount of the Crypto Bonus or Alternative Bonus is exclusive of any such costs or fees incurred by the FaZe1 Recruit.

If the applicable laws and regulations of the FaZe1 Recruit's home jurisdiction prohibit any component of the compensation or bonus, or the compensation or bonus cannot be delivered to that jurisdiction, Sponsor may choose to provide a substitute form of compensation or bonus of equal or greater US dollar value in a form Sponsor determines in its sole and absolute discretion. Any and all costs and expenses associated with the compensation/bonus acceptance and use not otherwise specified herein as being provided, including, without limitation, dealer prep, licensing, auto insurance; registration fees or any other expenses of a personal nature, are the sole responsibility of the FaZe1 Recruit. The FaZe1 Recruit is fully responsible for any and all applicable federal, state, local and other taxes (including, without limitation, sales tax, income and withholding taxes). FaZe1 Recruit or the FaZe1 Recruit's authorized agent must have a valid driver's license and show proof of insurance to take delivery of Nissan GT-R vehicle and must take delivery of the vehicle at a location determined by Sponsor in Los Angeles, California, otherwise Sponsor may provide a substitute in accordance with these Recruitment Terms. Except where otherwise expressly noted in these Recruitment Terms, the selection of all vendors, products, and services is subject to the Sponsor's sole and absolute discretion. The compensation and bonuses (and/or any portion thereof) are nontransferable and non-exchangeable (until legal receipt by the FaZe1 Recruit in accordance with these Recruitment Terms). No substitutions permitted and non-cash components cannot be redeemed for cash, except as set forth herein. Sponsor retains the right to provide a substitute of equal or greater retail value if any compensation or bonus component is unavailable at time of award. All compensation and bonus details not specifically set forth herein are at Sponsor's sole discretion.

RECRUITMENT SEARCH CONTENT REQUIREMENTS.

Recruitment Search Content must be in English or include English subtitles and the original work of the Participant, and may not have been previously published, submitted in any other Recruitment Search and may not have won previous awards. Recruitment Search Content may not contain, as determined by the Sponsor, in its sole discretion, any content that:

  • is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic;

  • promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing);

  • promotes any activities that may be unsafe or dangerous;

  • promotes any particular political agenda or message;

  • is obscene or offensive; endorses any form of hate or hate group;

  • appears to duplicate any other submitted Recruitment Search Content or has been submitted in any other talent searches or events;

  • defames, misrepresents or contains disparaging remarks about Sponsor, its products or services, or other people or companies;

  • contains trademarks, logos or trade dress owned by others, without permission, to the extent permission is necessary;

  • contains copyrighted materials owned by others (including sculptures, artwork, lyrics, or text), without permission, to the extent permission is necessary;

  • contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission;

  • contains any viruses, spyware, malware, or other malicious components that are designed to or are likely to harm the functionality of a computer in any way;

  • is in breach of confidence;

  • communicates messages or images inconsistent with the positive images and/or good will to which Sponsor wishes to associate;

  • is not appropriate for a general audience; and/or

  • violates any applicable law or regulations.

Sponsor reserves the right to allow for minor deviations from the Recruitment Search Content Requirements based on clear intent to comply with these Recruitment Terms.

Sponsor reserves the right to require Participants to provide proof of third party consent to the Participants' Recruitment Search Content.

Sponsor may disqualify Recruitment Search Content that fails to conform to these Recruitment Terms in any way.

GRANT OF RIGHTS.

  • Search Content. Sponsor and its designees, successors, and assigns shall have the unrestricted and non-exclusive right to edit, adapt, publish, copy, display, perform, broadcast, modify, and/or otherwise use any or all Recruitment Search Content materials, alone or in combination with other material including but not limited to essays, photos and/or videos in any and all media, whether now known or later discovered (including, but not limited to, display on Sponsor's websites and social media), in perpetuity (or limited to 10 years if such a perpetual license is not allowed under applicable laws and regulations), without restriction of any kind whatsoever, without further compensation to the Participant or anyone else.

  • Publicity Grant. By participating in the Recruitment Search, Participant (and, if an eligible minor, their parent or legal guardian) expressly grants constitutes permission for Sponsor and its designees to use Participant's name, biographical information, Social Platform user name, voice, performance, photo and/or likeness in any and all media, now or hereafter devised, worldwide, in perpetuity, for internal, advertising, and other purposes without additional compensation, notification or permission, unless prohibited by applicable laws and regulations, and to the fullest extent permitted by applicable laws and regulations.

USE OF DATA.

Sponsor and Crypto Bonus Underwriter will be collecting personal data about Participants (and, if an eligible minor, their parent or legal guardian) (including, without limitation, name, phone number, mailing address, gamer alias, gender, age, e-mail addresses) when they enter the Recruitment Search. Sponsor and Crypto Bonus Underwriter are entitled to use personal data contained in the registration form in accordance with their respective privacy policies. By participating in the Recruitment Search, Participants (and, if an eligible minor, their parent or legal guardian) hereby agree to all personal information uses and disclaimers as explained in Sponsor's Privacy Policy at https://fazeclan.com/privacypolicy and Crypto Bonus Underwriter's Privacy Policy at https://www.moonpay.com/legal/privacy_policy.

RELEASE OF LIABILITY.

  • For All Participants Except Great Britain, European Union, Switzerland, and Thailand. By participating, Participant (and, if an eligible minor, their parent or legal guardian) release, indemnify and hold harmless Sponsor, Crypto Bonus Underwriter, OMD, LLC, Nissan North America, Inc., any other companies or related parties associated with this Recruitment Search, Social Platforms, and each of its and their respective parent companies, subsidiaries, affiliates, owners, members, shareholders, directors, officers, employees and agents (each a “Releasee” and collectively the, “Releasees”) from any and all liability for any injuries, loss or damage of any kind, including death, arising from or in connection with the Recruitment Search or receipt or use and/or misuse of any compensation or bonus (including, without limitation, any travel or activity related thereto or use of the vehicle). Releasees are not responsible for lost, late, misdirected, delayed, inaccurate, illegible, garbled, stolen or incomplete Recruitment Search materials, emails, or communications of any kind; or for Recruitment Search Content not received for any reason or for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft, destruction, or unauthorized access to or alterations of Recruitment Search-related materials; or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive registration Recruitment Search or other information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof; or for any other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Recruitment Search, including, without limitation, errors or difficulties which may occur in connection with the administration of the Recruitment Search, the processing or judging of Recruitment Search Content, the announcement of the prizes, or in any Recruitment Search-related materials, including, but not limited to, the Recruitment Search Website.

  • For EU (excluding Poland), Switzerland and Thailand Residents Only. Sponsor shall be fully liable for damages caused by intent and gross negligence as well as for damages caused by injury to life, body, or health caused by Sponsor. In an event of slight negligence, Sponsor shall be liable only for property damage or financial loss caused by breaches of a material contractual obligation (“cardinal duty”). A cardinal duty in the meaning of this provision is an obligation whose fulfillment makes the implementation of this contract possible in the first place and on the fulfillment of which the contractual partner may therefore generally rely. The limitation of liability shall apply mutatis mutandis to the benefit of the employees, agents, and vicarious agents of Sponsor. Any potential liability on the part of Sponsor for any warranties and for claims based on the applicable Product Liability Act shall not be affected. Consumer rights laws of the Participant's local jurisdiction, will apply.

  • For EU Residents only. Notwithstanding the choice of law and choice of forum in this section, EU Residents shall be entitled to the consumer protection afforded to them by mandatory laws of their country of residence, and any disputes arising in connection with the Recruitment Search and these Recruitment Terms shall be subject to the exclusive jurisdiction of the competent court in the EU Resident's country of residence. 

  • For Great Britain Residents Only. To the fullest extent permissible by law, Sponsor shall not be liable for: (i) any loss or damage caused by a third party who is not acting on behalf of or under the direct instructions of Sponsor; (ii) any loss or damage occurring as a result of Participant taking up and using any third-party product or service forming part of the compensation package (except where caused by the negligence of Sponsor or any third party acting on behalf of or under the direct instructions of Sponsor); (iii) any loss or damage caused by any event or circumstance beyond Sponsor's reasonable control; (iii) any loss of profits or revenue, loss of anticipated savings or loss of goodwill; or (iv) any unavailability of Sponsor's or Crypto Bonus Underwriter's websites, apps, or social media accounts. Nothing in these Recruitment Terms limits or excludes liability for death or personal injury caused by Sponsor's negligence, or for fraud or for any other liability that cannot be limited or excluded as a matter of applicable law. These limitations and exclusions of liability shall apply equally to the benefit of Sponsor, Crypto Bonus Underwriter, OMD, LLC, Nissan North America, Inc., any other companies or related parties associated with this Recruitment Search, Social Platforms, and each of its and their respective parent companies, subsidiaries, affiliates, owners, members, shareholders, directors, officers, employees, and agents.

GENERAL CONDITIONS.

Sponsor reserves the right to cancel or modify the Recruitment Search if fraud or any other factor impairs the integrity of the Recruitment Search. If there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Recruitment Search, or if technical difficulties compromise the integrity of the Recruitment Search, Sponsor reserves the right in its sole discretion to void any entries at issue (including disqualifying any individual who tampers or otherwise interferes with the entry process), and to cancel, terminate, modify, or suspend the Recruitment Search, in whole or in part, at any time without notice and determine the FaZe1 Recruit as it deems fair and appropriate. In the event Sponsor is prevented from continuing with the Recruitment Search as contemplated herein by any force majeure event, including but not limited to fire, flood, earthquake, pandemic, public health emergency, national emergency, explosion, labor dispute or strike, act of God or public enemy, or any federal, state or local government law, order, or regulation, provided these events qualify as force majeure events, then Sponsor shall have the right to modify, suspend, or terminate the Recruitment Search at any time.

CAUTION: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE RECRUITMENT SEARCH MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAWS AND REGULATIONS.

THESE RECRUITMENT TERMS AND ANY INFORMATION OR NOTIFICATIONS PROVIDED BY SPONSOR ARE IN ENGLISH.

Except where prohibited by law, any translation of these Recruitment Terms or other information or notifications is provided for your convenience only and may not accurately represent information in the original English. In the event of any inconsistency, except where prohibited by law, the English language version of these Recruitment Terms or other information or notifications shall prevail.

CHOICE OF LAW.

The Recruitment Search is governed by the laws of the United States and the State of California, excluding conflicts of laws principles.

Save as otherwise provided for herein and without prejudice to the Participants' consumers' rights under the laws of their home jurisdictions, Participants (and, if an eligible minor, their parent or legal guardian) in the Recruitment Search hereby consent to the exclusive jurisdiction and venue of California courts (state and federal) in Los Angeles County for any causes or controversies arising out of the Recruitment Search. Participants waive any and all objections to jurisdiction and venue in these courts. Participants hereby agree that any and all disputes, claims, causes of action, or controversies (“Claims”) arising out of or in connection with this Recruitment Search shall be resolved, upon the election by Participant or Sponsor, by arbitration pursuant to this provision and the code of procedures of either the National Arbitration Forum (“NAF”) or the American Arbitration Association (“AAA”), as selected by the Participant. IF ARBITRATION IS CHOSEN BY ANY PARTY WITH RESPECT TO A CLAIM, NEITHER PARTY WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM IN COURT OR HAVE A JURY TRIAL ON THAT CLAIM. FURTHER, NEITHER SPONSOR NOR PARTICIPANT WILL HAVE THE RIGHT TO PARTICIPATE IN A REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR OTHER PERSONS SIMILARLY SITUATED, OR AS A MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. EXCEPT AS SET FORTH BELOW, THE ARBITRATOR'S DECISION WILL BE FINAL CONFIDENTIAL AND BINDING. NOTE THAT OTHER RIGHTS THAT PARTICIPANT WOULD HAVE IF PARTICIPANT WENT TO COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION. The arbitrator's authority to resolve Claims is limited to Claims between Sponsor and Participant alone, and the arbitrator's authority to make awards is limited to awards to Sponsor and Participant alone. Furthermore, claims brought by either party against the other may not be joined or consolidated in arbitration with Claims brought by or against any third party, unless agreed to in writing by all parties. No arbitration award or decision will have any preclusive effect as to issues or claims in any dispute with anyone who is not a named party to the arbitration.

Participants (and, if an eligible minor, their parent or legal guardian) acknowledge that they have read and understood the provisions of California Civil Code Section 1542, which provides as follows: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.” Being aware of such statutory right, by participating in the Recruitment Search, Participants expressly waive any rights under California Civil Code Section 1542 as well as any other statutes or common law principles of similar effect.

For Residents of applicable jurisdictions including Austria, Bahrain, Belgium, Brazil, Canada, Colombia, Egypt, Jordan, Kuwait, Malaysia, Nepal, Norway, Peru, Qatar, Saudi Arabia, and United Arab Emirates: Nothing in these Recruitment Terms shall deprive any Participant who is a resident of the aforementioned jurisdictions of any rights they may have under the mandatory laws and regulations of their home jurisdiction. Participants who are residents of the aforementioned jurisdictions shall be entitled to bring and defend claims in their home courts.
